you must agree to abide by all of these Additional Terms and Conditions
as well as the terms and conditions applicable to all users of the
Web Site set forth in the Terms and Conditions of Use. Please read
these Additional Terms and Conditions carefully before registering
with and posting information to the Venture Capitalists section
of the Web Site. By registering with and posting information to
the Venture Capitalists section of the Web Site, you indicate your
acceptance of these Additional Terms and Conditions and the terms
and conditions applicable to all users of the Web Site set forth
in the Terms and Conditions of Use. OIF may revise these Additional
Terms and Conditions at any time by posting an update to this page.

You hereby (i) certify to OIF that you are an "accredited
investor" within the meaning of Regulation D promulgated pursuant
to the Securities Act of 1933; (ii) agree that you will not
share your user ID or password with any third party or circulate
copies of any documents printed from the Venture Capitalists section
of the Web Site to any third party, other than your affiliates and
representatives; (iii) acknowledge that OIF is not recommending
or taking any position with respect to the merits of any business
opportunity relating to the information submitted through the Entrepreneurs
section of the Web Site; and (iv) agree that OIF and its manager
shall have no liability for any loss, liability, claim, damage or
expense incurred by you from or in connection with any business
opportunity relating to the information submitted through the Entrepreneurs
section of the Web Site.
